Announcement regarding Distribution of Composition Entitlements

Kaupthing began making distributions of the De Minimis Cash Payments, the Composition Cash Payments, Notes and Shares on 15 January 2016 to eligible creditors who had properly completed and submitted valid Entitlement Letters before the relevant deadlines.

Kaupthing intends to continue the process of making distributions of De Minimis Cash Payments, the Composition Cash Payments, Notes and Shares beginning on 5 February 2016 to eligible creditors who had properly completed and submitted valid Entitlement Letters before 3 February 2016.

Kaupthing will at the same time start initial distribution of Notes and Shares to Old US MTN Claim Beneficiaries who had properly completed and submitted valid Entitlement Letters before 3 February 2016. Kaupthing and Deutsche Bank Trust Company Americas (“the Old US MTN Trustee”) also intend to initiate the distribution of the Old US MTN Cash Payments to Old US MTN Claim Beneficiaries on 5 February 2016 (or as soon as practicable thereafter), in accordance with the Framework Agreement, as amended. Old US MTN Claim Beneficiaries holding (i) unblocked positions or (ii) blocked positions whose economic interests have not been transferred, should however be aware that such distribution may take some time, owing to the administration of DTC procedures.

Composition Entitlement Creditors and Old US MTN Claim Beneficiaries who are eligible to receive Notes (“Notes Recipients”) will receive a separate announcement on 5 February with Notes Settlement Instructions. The Notes Settlement Instructions will contain information that will be required by each Notes Recipient’s custodian to ensure that the Notes can be received into that Notes Recipient’s securities account with its custodian, and will be populated using information provided in the relevant Notes Recipient’s Entitlement Letter.

Notes Recipients must forward the Notes Settlement Instructions to their custodian immediately upon receipt. Failure by a Notes Recipient to forward the Notes Settlement Instructions to its custodian with sufficient time for these to be processed by their custodian, will result in a failed settlement and the Notes will not be delivered to that Notes Recipient at this time.

Composition Entitlement Creditors and Old US MTN Claim Beneficiaries holding Blocked Original Positions and/or Blocked Transferred Positions who have not already completed and submitted the Entitlement Letter(s) applicable to them, are reminded to access the Secure Website and complete their Entitlement Letter(s) as soon as possible. (Other than cash distributions to Old US MTN Beneficiaries holding Blocked Original Positions) distributions cannot be made to such Composition Entitlement Creditors and Old US MTN Claim Beneficiaries until the relevant Entitlement Letter(s) have been validly completed and submitted. Composition Entitlement Creditors and Old US MTN Claim Beneficiaries who have not already submitted valid Entitlement Letters will not (other than in respect of cash distributions to Old US MTN Beneficiaries holding Blocked Original Positions) be included in the round of distributions beginning on 5 February 2016.
